TERMS & CONDITIONS

1. Eligibility

ResponsiveEd’s Share Your Story Contest (the “Contest”) is open only to individuals who are currently enrolled in a ResponsiveEd school. Students under the age of 18 must have permission from a parent or guardian to submit his or her story. By participating in this Contest, entrants agree to be bound by these official rules (“Official Rules”) and by the decisions of ResponsiveEd and the judges selected by ResponsiveEd in all matters relating to the Contest.

2. Contest Period

Subject to clauses below, the Contest begins September 1, 2018 and runs until ResponsiveEd discontinues the Contest (“Entry Period”).

3. How to Enter

CONTEST IS ONLY OPEN TO CURRENTLY ENROLLED STUDENTS. NO NEW ENROLLMENT OR RE-ENROLLMENT INCENTIVES WILL BE DISTRIBUTED FOR ENTERING THE CONTEST.

Step 1: During the Entry Period, visit ShareYourStory.ResponsiveEd.com and choose to submit a written story or a video story.

Step 2: Based on your choice above, complete the form to submit your story. A photo must accompany your written story.

Step 3: For students over the age of 18, your story will immediately be submitted to ResponsiveEd for review. For students under the age of 18, a parent or guardian will be notified through email that your story has been submitted and be given directions on how to approve your story submission. Once the parent or guardian has given their approval, your story will be submitted to ResponsiveEd for review.

Video submissions must be between 30 seconds to 3 minutes in duration and must be the original work of the entrant.

Written submissions must be no longer 1000 words and must be the original work of the entrant.

Submissions must not: contain content that violates or infringes another’s rights, including, but not limited to, privacy, publicity, proprietary and/or intellectual property rights; disparage ResponsiveEd or any other person or party affiliated with the promotion and administration of this Contest; contain personal data; contain material that is inappropriate, indecent, lewd, pornographic, obscene, hateful, tortious, defamatory, slanderous or libelous, all as determined by ResponsiveEd in its sole discretion; or contain unlawful material.

Submissions that violate, as determined by ResponsiveEd, in its sole discretion, these entry requirements or do not meet the submission deadlines will be disqualified from the Contest.

NOTE: If an entrant participates from his or her wireless phone, the entrant’s wireless service provider may charge the entrant for data usage. Entrants should consult their wireless service provider regarding its pricing plans.

4. Winner Selection and Notification

Within one (1) month following the close of the Entry Period, ResponsiveEd may choose six (6) winners who submitted the best stories. These winners will be selected from all eligible entries received during the Entry Period. Judging will be conducted by ResponsiveEd representatives, whose decisions shall be final and binding on all matters relating to the Contest.

5. Prizes and Prize Claim

In any given Entry Period, each and every winner selected by ResponsiveEd based on the judging criteria set out above as determined by ResponsiveEd shall be awarded one laptop chosen by ResponsiveEd representatives.

Winners are subject to verification by ResponsiveEd, including verification of age, residency, ownership and authenticity of the submission. The prizes are non-transferable and no prize substitution is permitted, except at the sole discretion of ResponsiveEd, in which event it shall be of equal or greater value. All costs and expenses associated with prize acceptance and use not specifically provided herein are the responsibility of the winner.

As a condition of receiving a prize, each winner must (i) follow the instructions that will be provided by ResponsiveEd to submit the original video directly to ResponsiveEd in the format requested by ResponsiveEd and (ii) sign and return any documents requested by ResponsiveEd, including but not limited to, an affidavit of eligibility and publicity/liability release. Failure to sign and return any requested documents by the specified return date will result in disqualification of the winner and the forfeiture of all interest in the prize.

Within two (2) weeks of receipt of notification regarding winner selection, each winner must reply with confirmation and provide requested information to ResponsiveEd in order for ResponsiveEd to send the prize to the winner. If a winner (i) is determined to be ineligible, (ii) fails to respond to the initial verification message within one (1) week of notification or after three (3) attempts (whichever occurs first), (iii) fails to provide information within two (2) weeks of receipt of notification regarding winner selection, or (iv) fails to sign and return all requested documents by the specified return date, the winner forfeits the prize in its entirety and an alternate winner will be announced based upon the eligible entry that received the next highest score from the judges.

6. Publicity

Except where prohibited by law, by accepting a prize, each winner hereby grants to ResponsiveEd and its affiliates a worldwide, non-exclusive, fully paid, royalty-free, irrevocable, perpetual license, with the right to sublicense through multiple tiers, to use, distribute, and publicly display the winner’s name, likeness, and country of residence in any way in connection with or related to this Contest and/or the winner’s submission(s), at any time, in any and all media, including for use in advertising and marketing without any additional approval or consideration.

7. License to Submission

By submitting an entry, each entrant represents and warrants that (i) he or she is the creator of the submission, (ii) entrant has obtained any and all necessary third-party rights, clearances, authorizations, permissions, and other releases (collectively, “Releases”) necessary or required for the submission to be displayed, performed publicly, or otherwise used by or on behalf of ResponsiveEd, including without limitation, the Releases necessary to obtain and use any footage or other work of authorship included within or embodied by any submission (including, without limitation, any synchronization, publishing, public performance or other rights) and to use all creative elements, appearances, and all third-party materials comprising, embodied by, appearing in, or otherwise displayed as part of any submission, including, without limitation, stock footage, artwork, trademarks, service marks, rights of publicity and indicia of identity (including names, statements, voices, and likenesses), literary materials and music, and (iii) the following license to the submission may be granted by entrant to ResponsiveEd and its affiliates without obtaining approval or consent from, or paying any consideration to, a third party.

Each entrant hereby grants to ResponsiveEd and its affiliates a worldwide, non-exclusive, fully paid, royalty-free, irrevocable, perpetual license, with the right to sublicense through multiple tiers, to (a) reproduce, create derivative works of, distribute, publicly perform, publicly display, digitally transmit, and otherwise use his or her submission in any medium or format, whether now known or hereafter discovered, (b) use, make, have made, sell, offer to sell, import, and otherwise exploit any product or service based on, embodying, incorporating, or derived from his or her submission, and (c) exercise any and all other present or future rights in his or her submission. Each entrant warrants that the holder of any intellectual property rights, including without limitation, moral rights, in his or her submission, has completely and effectively waived all such rights and validly and irrevocably granted to entrant the right to grant the license stated above. Each entrant agrees to execute and deliver (or cause his or her representatives to execute and deliver) any additional documents requested by ResponsiveEd to perfect, maintain, protect, or enforce ResponsiveEd’s and its affiliates’ rights described above.

8. Limitation of Liability

By participating in the Contest or accepting a prize, entrants agree that ResponsiveEd, its affiliates, officers, directors, employees, agents, partners, licensors, suppliers, successors and assigns (collectively, the “ResponsiveEd Parties”) are not responsible for lost, late, misdirected, damaged, stolen, altered, garbled, incorrect, incomplete or delayed entries, all of which will be void. ResponsiveEd Parties are also not responsible for problems related to unauthorized human intervention or for technical malfunctions of electronic equipment, computer online systems, servers, or providers, computer hardware or software failures, phone lines, traffic congestion on the internet or any website, or for any other technical problems including telecommunication, miscommunication or failure, and failed, lost, delayed, incomplete, garbled, or misdirected communications, which may prevent the receipt of an entry or otherwise limit an entrant’s ability to participate in this Contest. ResponsiveEd Parties are not responsible for any other errors or malfunctions of any kind, whether network, printing, typographical, human or otherwise relating to or in connection with the Contest, including, without limitation, errors or malfunctions which may occur in connection with the administration of the Contest, the processing of entries, the announcement of the prize or in any Contest-related materials. By entering this Contest, each entrant agrees to and shall forever and irrevocably release, defend, indemnify and hold harmless any and/or all of the ResponsiveEd Parties from any and all damages, claims, lawsuits, judgments, causes of action, proceedings, demands, fines, penalties, liability, costs and expenses (including, without limitation, reasonable outside attorneys’ fees) that may arise in connection with: (a) the violation of any third-party privacy, personal, publicity, intellectual property and/or and proprietary rights or (b) the entrant’s violation of these Official Rules including but not limited to a breach of any representations, warranties or covenants herein. As a condition of entering, entrants agree (and agree to confirm in writing if requested by ResponsiveEd) that to the fullest extent permitted by applicable law: (a) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, indirect, special, exemplary, or consequential damages and (b) that any and all claims, judgments, and awards shall be limited to actual out-of-pocket costs incurred, excluding attorneys’ fees and court costs. THE LAWS OF SOME STATES AND COUNTRIES DO NOT ALLOW FOR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THE FOREGOING EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU AND YOU MIGHT HAVE OTHER RIGHTS.

9. Legal Warning

ANY ATTEMPT BY AN INDIVIDUAL, WHETHER OR NOT A PARTICIPANT, TO DELIBERATELY UNDERMINE THE LEGITIMATE OPERATION OF THIS CONTEST IS A VIOLATION OF CRIMINAL AND CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, RESPONSIVEED RESERVES THE RIGHT TO SEEK DAMAGES AND DILIGENTLY PURSUE ALL REMEDIES AGAINST ANY SUCH INDIVIDUAL TO THE FULLEST EXTENT PERMITTED BY LAW.

10. ResponsiveEd’s Reservation of Rights

If the Contest is not capable of running as planned for any reason, including without limitation, due to a force majeure event or infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of the Contest, ResponsiveEd reserves the right, at its sole discretion, to disqualify any individual who is responsible or who tampers with the entry process or otherwise acts in violation of these Official Rules, and/or to cancel, modify, or terminate the Contest. In the event of cancellation, ResponsiveEd reserves the right to award the prizes in its discretion based on all eligible, non-suspect entries received prior to cancellation. In the event that an entry is confirmed to have been erroneously deleted, lost or destroyed, entrant’s sole remedy shall be another entry into the Contest.

11. Governing Law and Jurisdiction

ResponsiveEd’s failure to enforce any term of these Official Rules shall not constitute a waiver of that or any other provision. If any provision of these Official Rules is held to be invalid or unenforceable, such provision shall be struck, and the remaining provisions shall be enforced.

12. Privacy

Any personal data collected during an entrant’s participation in the Contest will be collected by ResponsiveEd or its designee and used by ResponsiveEd for the proper administration and fulfillment of the Contest and as otherwise described in these Official Rules and ResponsiveEd’s privacy policy.
